E-Commerce Platform Terms of Use
(FOR SUPPLIERS)
Welcome to SPARSS! Before you
proceed to use our platform, please read these Terms and Conditions
("Terms") carefully. By accessing or using SPARSS, you agree to be
bound by these Terms. If you do not agree with any part of these Terms, please
refrain from using our platform.
1. Supplier
Registration and Fees: To become a
supplier on SPARSS, a one-time payment as per schedule 1. This fee is
non-refundable and covers the registration process. Registration process is
currently only for store pickup. If supplier wants to sale his products on Online
/ Both then supplier shall contact to SPARSS customer care for the detail. This
Joining is for only store pickup sale
2. Supplier
Responsibilities and Product Management:
A supplier, whether an individual or organization, is responsible for
registering their business on SPARSS and adding products to the platform.
Suppliers must adhere to ethical business practices and avoid any conflicts of
interest.
(i)
Suppliers have the privilege to add new products to
the platform. They can add multiple products across various categories to
expand their product offerings and reach a wider audience.
(ii) When adding
a product, suppliers must provide comprehensive details including the product
name, category, description, shop type, GST percentage, shipping options,
dimensions, stock availability, customer price, and also refund policy as per
government rules and guidelines.
(iii)
Suppliers must specify accurate measurements or
packaging sizes for their products to ensure proper shipping and delivery.
(iv) Suppliers
are responsible for managing and updating the available stock of each product
on the platform. They must promptly update stock availability to avoid any
discrepancies.
(v)
Suppliers must set customer prices inclusive of GST
and are subject to a fixed transaction charge percentage. The supplier price is
determined after deducting a minimum margin.
(vi) Suppliers
can efficiently manage their orders through the designated sections for online
orders and store pickup orders on the SPARSS platform.
(vii)
Supplier is responsible for added product. Supplier
has to take all permissions from government or product related companies to
sale added product on our platform.
(viii)
Supplier has to set product GST and HSN code, is fully
responsible for any mistakes provided.
3. Privacy:
3.1 We
respect your privacy and are committed to protecting your personal information.
Any data collected and processed through SPARSS is subject to our Privacy
Notice. By using SPARSS, you consent to the collection and use of your personal
information as described in our Privacy Notice.
3.2
Cookies- Cookies are small data files that are stored locally on your computer
and which enable us or our service provider/s to tailor your experience in
using the Website. Accounts and password information may be stored in cookies.
The Website/App uses cookies, and you are deemed to consent to the use of
cookies by using the Website. You can turn off the use of cookies in your Web
browser.

Electronic Communications: When you engage with SPARSS, you consent to receive
communications from us electronically, including but not limited to emails,
notifications, and messages on the platform. These communications may include
promotional or commercial content related to your activities on SPARSS.
3. Access
to SPARSS: While we strive to maintain uninterrupted access to SPARSS, we
cannot guarantee that the platform will be free from errors or interruptions.
We may suspend or restrict access to SPARSS for maintenance, repairs, or the
introduction of new features without prior notice.
4.
Intellectual Property: All contents, including text, graphics, logos, and
software, provided on SPARSS is the property of SPARSS or its affiliates and is
protected by copyright and other intellectual property laws. You shall not use,
reproduce, or distribute any content from SPARSS without our express written
consent.
5. Use of
SPARSS: SPARSS is intended for use by individuals who can form legally binding
contracts under the Indian Contract Act, 1872. Minors under the age of 18 may
only use SPARSS with the involvement of a parent or guardian. You agree to use
SPARSS in compliance with applicable laws and regulations and refrain from
engaging in fraudulent or unlawful activities.
6. Content
Submission: You are solely responsible for any content or material you submit
or post on SPARSS. You represent and warrant that you have the necessary rights
to such content and that it does not violate any laws or infringe upon the
rights of others. SPARSS reserves the right to monitor and remove any content
that violates these Terms.
7.
Indemnity and Release: You agree to indemnify and hold harmless SPARSS, its
affiliates, and their respective officers, directors, and employees from any
claims or liabilities arising from your breach of these Terms or violation of
any laws. You release SPARSS from any liability resulting from your use of the
platform.
8.
Governing Law and Jurisdiction: If
resolution cannot be reached within 30 (thirty) days of the mutual negotiation,
parties do hereby agree to get the same be resolved by way of Arbitration as
provided under the Arbitration and Conciliation Act, 1996. The arbitration
shall be presided by a sole arbitrator, who shall be an advocate. If the parties fail to select an arbitrator, Advocate Madhav
Prakash may appoint one. The scope of arbitration shall be all disputes
and differences arising of the agreement except the infringement of
intellectual property rights. The arbitration proceedings shall be conducted in
English. The seat of arbitration shall be at Nanded (Maharashtra) or Delhi. The proceedings may be conducted virtually,
if any party so desires. The cost of the arbitration shall be borne by both
parties equally. The Parties
also agree that the arbitration award shall be final and binding upon them. The
Courts of Nanded (Maharashtra) only, shall have exclusive jurisdiction to
decide any issue related to arbitration.
9.
Modification and Severability: SPARSS reserves the right to modify these Terms
at any time without prior notice. Your continued use of the platform
constitutes acceptance of the revised Terms. If any provision of these Terms is
deemed invalid or unenforceable, the remaining provisions shall remain in full
force and effect.
10. Force
Majeure: No Party shall be deemed to be in
violation of this Agreement if prevented from performing any obligations by reason of acts of God or other acts
of war, flood, storm, strikes, terrorism, epidemics, and the like beyond the
control of such Party. No party shall be required to act in violation of law or
regulation.
11. Waiver:
The failure of SPARSS to enforce any provision of these Terms shall not
constitute a waiver of such provision or any other rights. Our rights and
remedies under these Terms are cumulative and not exclusive.
